STATUTS DE L'ASSOCIATION / STATUTES OF THE ASSOCIATION

1. ARTICLE PREMIER - NOM / NAME
   
   1.1 Il est fondé entre les adhérents aux présents statuts une association régie par la loi du 1^erjuillet 1901 et le décret du 16 août 1901, ayant pour titre : Médiathèque Communale de Bois-Normand.
   

   An Association in conformity with the law of the 1^st of July 1901 is founded by those members present, having as its name: the Médiathèque Communale de Bois-Normand.

   
   1.2 Son sigle distinctif est MCBN. Its distinctive logo is MCBN.
   1.3 Son logo et son slogan figurent en tête de ce document.
   Its logo and its motto are at the head of this document.

2. ARTICLE 2 - OBJET - BUTS - MOYENS / AIMS AND OBJECTIVES
   
   2.1 Cette association a pour objet de créer du lien pour tous / a cultural link for all, autour du noyau initial d'une médiathèque communale bilingue, publique et gratuite.
   

   The Association has as its aim the creation of a cultural link for all (un lien pour tous) on the basis of a municipal bilingual médiathèque, public and free of charge.

   
   2.2 Lien entre les habitants de la commune de BOIS-NORMAND près Lyre (27330) et des environs.
   

   A link between the inhabitants of BOIS–NORMAND près Lyre (27330) and those in surrounding districts.

   
   2.3 Lien avec les autres associations communales.
   

   Links with other community associations.

   2.4 Lien entre les diverses langues pratiquées.
   

   Links between the different languages spoken.

   
   2.5 Lien de chacun avec son histoire, l'histoire de sa commune, de sa région, de son pays ; son paysage, sa faune, sa flore, sa géographie.
   

   Links between the members, and personal history, history of the village, the region, the country; its landscape, its fauna & flora, its geography.

   
   2.6 Lien de tous avec la création, les œuvres de l'esprit et de la main.
   

   Links for everyone: both intellectual and practical creativity.

   
   2.7 Lien avec les médiathèques environnantes dans le cadre de la politique de la Lecture du Conseil Général ou de ce qui en tiendra lieu dans l'avenir.
   

   Links with local médiathèques, within the framework of the Lecture du Conseil Général or whatever replaces it in the future.

   
   2.8 Tout lien que la pratique de l'association jugera bon de mettre en œuvre ; notamment en suivant l'avancée des nouvelles technologies.
   

   Any link which the Association considers useful: especially advances in new technologies.

   
   2.9 L'association se donne tous moyens pour réaliser ces buts.
   

   The Association undertakes to do whatever is required to bring about these aims.             .

3. ARTICLE 3 - SIÈGE SOCIAL / HEADQUARTERS

   The Headquarters are situated at 2 Route de Glos, 27330 BOIS –NORMAND près Lyre.

4. ARTICLE 4 – DUREE / DURATION4.1 La durée de l’association est illimitée.
   

   The duration of the Association is unlimited.

5. ARTICLE 5 - COMPOSITION / COMPOSITION.
   .5.1 L'association se compose de :

6. ARTICLE 6 - ADMISSION - MEMBRES / ADMISSION - MEMBERS
   
   6.1 Tout adhérent à la médiathèque, tout membre actif adhérent de la MCBN, est réputé être membre de l'association, sauf refus explicite de sa part.
   

   Any member of the médiathèque, or any active member of the MCBN, is considered to be a member of the Association, except in the case of an individual refusal.

7. ARTICLE 7 - COTISATIONS - RESSOURCES / SUBSCRIPTIONS - RESSOURCES
   
   7.1 Pour assurer la gratuité, il n'y a pas de cotisation.
   

   To ensure free membership, there will be no subscription.

   7.2 Pour fonctionner, la MCBN accepte :
   

   To allow it to function, the MCBN will accept :
   7.3 Tous dons en matériel, en argent, en savoir-faire.
   

   Any gifts in kind, money, skills or knowledge.
   7.4 Toute subvention, tout mécenat, partenariat etc.
   

   Any subsidy, sponsorship, partnership etc.
   7.5 Toutes les ressources autorisées par les lois et règlements en vigueur.
   

   Any resources authorised by current laws and regulations.

8. ARTICLE 8. - RADIATIONS / END OF MEMBERSHIP
   
   8.1 La qualité de membre se perd par :
   

   Membership will be lost by :

   8.2 La démission;
   

   Resignation;

   8.3 Le décès;
   

   Death;

   8.4 La radiation prononcée par le conseil d'administration pour comportement incompatible avec les valeurs de la MCBN édictées dans l'article 2.
   

   Any expulsion decided by the Committee for behaviour incompatible with the values of the MCBN as outlined in Article 2.

9. ARTICLE 9 - ASSEMBLÉE GÉNÉRALE ORDINAIRE / ANNUAL GENERAL MEETING
   
   9.1 L'assemblée générale ordinaire comprend tous les membres de l'association à quelque titre qu'ils soient.
   

   The Annual General Meeting includes all members of the Association without exception.
   9.2 Elle se réunit chaque année au mois de février.
   

   It will take place once a year in February.

   9.3 Quinze jours au moins avant la date fixée, les membres de l'association sont convoqués par les soins du secrétaire. L'ordre du jour figure sur les convocations.
   

   Not less than fifteen days before the date announced, the members of the Association will receive an invitation from the Secretary. The Agenda will be included with the invitations.

   9.4 Le président, assisté des membres du conseil, préside l'assemblée et expose la situation morale ou l’activité de l'association.
   

   The President, assisted by members of the Committee, will chair the meeting and report on the current situation of the association.

   9.5 Le trésorier rend compte de sa gestion et soumet les comptes annuels (bilan, compte de résultat et annexe) à l'approbation de l'assemblée.
   

   The Treasurer will give a management report and present the annual accounts (current financial situation, accounts and supporting documents) for the approval of the meeting.
   9.6 Les décisions sont prises à la majorité des voix des membres présents ou représentés.
   

   Decisions will be taken by a majority of votes of members either present at the meeting or represented.
   9.7 Il est procédé, après épuisement de l'ordre du jour, au renouvellement des membres sortants du conseil.
   

   The last item on the Agenda will be the re-election of the Committee.
   9.8 Toutes les délibérations sont prises à main levée.
   

   All votes will be taken by a show of hands.
   9.9 Les décisions des assemblées générales s’imposent à tous les membres, y compris absents ou représentés.
   

   Decisions taken at General Meetings will affect all members, whether present or not.

10. ARTICLE 10 - ASSEMBLÉE GÉNÉRALE EXTRAORDINAIRE / EXTRAORDINARY GENERAL MEETING
    
    10.1 Si besoin est, ou sur la demande d'un quart des membres, le président peut convoquer une assemblée générale extraordinaire, suivant les modalités prévues aux présents statuts et uniquement pour modification des statuts ou la dissolution.
    

    Should the need arise, or at the request of a quarter of the members, the President may call an Extraordinary General Meeting, following the procedures laid out in the current statutes, and solely for the modification of the statutes or for dissolution.

    10.2 Les modalités de convocation sont les mêmes que pour l’assemblée générale ordinaire.
    

    The procedures for calling the meeting are the same as those for an Ordinary Annual General Meeting.

    10.3 Les délibérations sont prises à la majorité des membres présents.
    

    Decisions are taken by majority vote of those members present.

11. ARTICLE 11 – LE BUREAU / THE BOARD OF OFFICERS
    
    11.1 L'Assemblée Générale élit parmi ses membres, un bureau composé de :
    

    The meeting elects from among its members a board of officers comprising :

    11.2 Un président;
    

    A President;

    11.3 Un ou plusieurs vice-présidents;
    

    One or several Vice-Presidents;

    11.4 Un(e) secrétaire et, s'il y a lieu, un secrétaire(e) adjoint;
    

    A Secretary, and if need be, an Assistant Secretary;

    11.5 Un trésorier(e), et, si besoin est, un trésorier adjoint;
    

    A Treasurer, and if need be, an Assistant Treasurer;

    11.6 Un(e) responsable de la communication.
    

    A Communications Officer.

12. ARTICLE 12 - CONSEIL D'ADMINISTRATION / THE COMMITTEE
    
    11.1 L'association est animée et conseillée par un Conseil de membres dont le nombre est évolutif en fonction des activités et des créations d'activités de la MCBN.The Association is led and guided by a committee of members whose number varies according to the current and projected activities of the MCBN.
    11.2 Chaque responsable d'un atelier d'activité peut être appelé par le Bureau à siéger au Conseil d'Administration.
    

    Each leader of a particular workshop may be invited by the officers to sit on the committee.
    11.3 Le Conseil se réunit autant qu'il est nécessaire pour animer la MCBN et réaliser ses buts.
    

    The Committee meets as often as is necessary for running the MCBN and realising its aims.

    
    
13. ARTICLE 13 – INDEMNITÉS / EXPENSES
    13.1 Toutes les fonctions, y compris celles des membres du conseil d’administration et du bureau, sont gratuites et bénévoles.
    

    All activities, including those of committee members, are performed on a voluntary basis and free of charge.

    13.2 Seuls les frais exceptionnels occasionnés par l’accomplissement de leur mandat sont remboursés sur justificatifs.
    

    Only exceptional expenses incurred in the carrying out of duties will be reimbursed on receipt of the appropriate documents.

    13.3 Le rapport financier présenté à l’assemblée générale ordinaire présente, par bénéficiaire, les remboursements de frais de mission, de déplacement ou de représentation.
    

    The Financial Report presented at the Annual General Meeting will specify the names and amounts of those receiving travel or other expenses.

    
    
14. ARTICLE 14 - RÈGLEMENT INTÉRIEUR / INTERNAL REGULATIONS
    
    14.1 Un règlement intérieur peut être établi par le conseil d'administration, qui le fait alors approuver par l'assemblée générale.
    

    An Internal Regulation may be proposed by the Committee, which then seeks its approval by the Annual General Meeting.

    14.2 Ce règlement éventuel est destiné à fixer les divers points non prévus par les présents statuts, notamment ceux qui ont trait à l'administration interne de l'association.
    

    This proposed Regulation is designed to cover any points not contained in the current statutes, particularly those concerning the internal administration of the Association.

    
    
15. ARTICLE 15 - DISSOLUTION / DISSOLUTION
    
    15.1 En cas de dissolution un ou plusieurs liquidateurs sont nommés, et l'actif, s'il y a lieu, est dévolu au Maire de Bois-Normand prés Lyre, charge à lui de le répartir à diverses associations de la commune.
    

    In the case of the dissolution of the Association, one or more liquidators shall be appointed, and any property shall devolve to the Mayor of Bois-Normand près Lyre, whose duty it will be to share it amongst various associations within the commune.
